Terms of Service

Please read these terms carefully before using Sponge. By creating an account or using the platform, you agree to be bound by these terms.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Sponge ("the Service"), operated by Sponge ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes.

2. Description of Service

Sponge is a business prospecting tool that allows users to search for local businesses, analyze their publicly accessible websites using automated techniques, and generate opportunity scores and reports based on observable website signals.

The Service uses automated web analysis (including headless browser technology), publicly available business data from Google Places, and a proprietary scoring algorithm to surface sales opportunities. Results are intended to help sales and marketing professionals identify and prioritize outreach.

3. Eligibility and Account Registration

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By registering, you represent that this is the case.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

Each account is for individual use. You may not share your account with others or create multiple accounts to circumvent plan limits.

4. Subscription Plans and Billing

Access to the Service requires a paid subscription. We offer multiple plan tiers with different usage limits. Current plan details and pricing are available on the Plans page.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

6. Data, Privacy, and Third-Party Sources

Sponge analyzes publicly accessible website content and uses business data sourced from Google Places. We do not access private, password-protected, or non-public areas of any website.

By using the Service, you acknowledge that:

7. Accuracy Disclaimer

The scores, flags, and analysis generated by Sponge are automated estimates based on observable website signals at the time of analysis. They are provided for informational and prospecting purposes only and do not constitute professional advice of any kind — including legal, marketing, technical, or business advice.

Scores reflect website characteristics as detected by automated tools and may not capture the full picture of a business's digital presence, health, or sales readiness. Results can be affected by website access restrictions, bot-detection systems, or temporary site conditions.

We make no representations or warranties about the accuracy, completeness, or fitness for a particular purpose of any analysis result. You are solely responsible for how you interpret and act on information provided by the Service.

8. Intellectual Property

All content, design, code, scoring algorithms, and features of the Service are the property of Sponge and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

You retain ownership of any data you input into the Service (such as contact information you add to reports). You grant us a limited license to process that data solely to provide the Service to you.

PDF reports and analysis outputs generated by the Service may be used by you for your own business development and sales activities. You may not resell or publicly redistribute these outputs without our consent.

9. Limitation of Liability

To the fullest extent permitted by law, Sponge and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service — including lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid us in the three months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sponge and its operators from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may cancel your account at any time through the Account page. We may suspend or terminate your access to the Service at our discretion if we believe you have violated these Terms, engaged in fraudulent or abusive activity, or for any other reason with reasonable notice where practicable.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 7, 8, 9, and 10) will remain in effect.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction in those courts.
